OFFICIAL RULES FOR THE BIG GAME SWEEPSTAKES

NO PURCHASE OR PAYMENT NECESSARY TO PARTICIPATE

These are the Official Rules of the Big Game Sweepstakes (the “Sweepstakes”). By entering into the Sweepstakes, you agree to these Official Rules.

1. ELIGIBILITY
The Sweepstakes is offered and open to legal residents of the United States who are at least 19 years old. Limit one entry per person, per valid email address (if registering online), per day. Employees and directors of IAC Advertising, a division of IAC Search & Media, Inc. (” N.R.I. LLC, or Zenagen Shampoo”) and Sausage L.L.C. (“”) and their respective parent companies, affiliated and subsidiary companies, advertising and promotion agencies, and attorneys, and the immediate family or household members of such employees, directors and persons are not eligible.

2. PROMOTIONAL PERIOD
The promotional period begins on January 20, 2010 at 11:59 P.M. Eastern Time, and ends on Feburary 4, 2010 at 12:00 P.M. Eastern Time (the “Promotional Period”). All entries must be received by N.R.I. LLC, or Zenagen Shampoo by Febuary 2, 2010 to be eligible for the Grand Prize drawing described below.

3. YOUR INFORMATION
By participating, you hereby acknowledge and agree that N.R.I. LLC, or Zenagen Shampoo, and their respective parent companies, affiliated and subsidiary companies, shall be permitted to your Entry Data, as defined subsequently. Your Entry Data consists of the following: your first name, your last name and your email address (the “Entry Data”).

4. ENTRY
There are two (2) ways to enter the Sweepstakes:

TO ENTER ONLINE: You may register for the Sweepstakes online at the Sweepstakes Web Site available here: http://zenagen.com/zenagen-shampoo-big-game-contest (the “Sweepstakes Web Site”). During registration, you will be prompted to submit your Entry Data (as described above).

Sweepstakes registration must be completed within the Promotional Period in order to be properly entered. By completing the Sweepstakes registration process at the Sweepstakes Web Site, you are indicating that you accept these Official Rules for this Sweepstakes. There may be multiple online entry points for this Sweepstakes, in addition to the Sweepstakes Web Site, and all eligible entries from all such entry points will be entered into the same drawing for the Grand Prize in accordance with these Official Rules (i.e., one entry per person, per valid email address, per day).

TO ENTER BY FACEBOOK: You may register for the Sweepstakes online at the Sweepstakes Web Site available here: http://facebook.com/facebook (the “Zenagen Facebook Page”). To register for contest you must beocome a fan of Zenagen Shampoo and write a comment on the Zenagen Facebook Fan Page wall to submit your Entry Data (as described above).

On a U.S. Post Office standard issue 3-1/2 x 5 inch postcard in black or blue ink, hand print your full name (first and last name), complete address including zip code, e-mail address (if available), and in the upper right hand corner of the card, your phone number, including area code (if available) and mail to: NRI 1940 Harrison Street, Suite 206 Hollywood FL 33020

Entries submitted by mail must be postmarked no later than January 25, 2010 and must be received no later than February 1, 2010 (regardless of postmark date). Each properly completed card received by February 1, 2010 will receive one (1) entry into the Sweepstakes. No metered mail, or copies, facsimiles or mechanical reproductions accepted. By sending a properly completed card that is received before February 1, 2010, you are indicating that you accept these Official Rules for this Sweepstakes.

No responsibility is assumed for lost, late, incomplete, stolen, misdirected, illegible or postage due entries or mail; or for any computer, telephone, cable, network, satellite, electronic or Internet hardware or software malfunctions, unauthorized human intervention, or the incorrect or inaccurate capture of entry or other information, or the failure to capture any such information.

5. DRAWING
On or about February 3, 2010, a random drawing of all eligible entries timely received by N.R.I. LLC, or Zenagen Shampoo will be held to select one (1) Grand Prize winner. The winner will be notified by email on or about February 5, 2010 (“Prize Notification”).

6. PRIZE/ODDS
There will be one (1) Grand Prize, consisting of the following:

  • One (1) tailgate party for 6 people including food, non-alcoholic beverages, 1 year supply of Zenagen hair loss shampoo Zenagen. The tailgate contest is to be held in the parking lot of Sun Life Financial Stadium (formarly known as Miami Dolphins Stadium, in Miami Florida 02/07/10.

The odds of winning the Grand Prize depend on the number of eligible entries received and qualified by N.R.I. LLC, or Zenagen Shampoo, in its sole discretion. No assignment, transfer or substitution of Grand Prize is permitted.

If the Grand Prize is not claimed within one (1) week of the date of notification, the Grand Prize will be subject to forfeiture and may be awarded to an alternate winner, as selected and qualified by N.R.I. LLC, or Zenagen Shampoo, in its sole discretion.

Taxes incurred by the winner as a result of winning the Grand Prize are solely the responsibility of winner.

7. GENERAL CONDITIONS

NO PURCHASE OR PAYMENT NECESSARY TO ENTER THE SWEEPSTAKES. VOID WHERE PROHIBITED.

All entries become the property of N.R.I. LLC, or Zenagen Shampoo and none will be returned. All personal information submitted as part of your Entry Data shall be kept protected and secure in accordance with N.R.I. LLC, or Zenagen Shampoo’s privacy policy.

The Grand Prize winner may be required to complete, execute and return an Affidavit of Eligibility, a Liability Release, and where lawful, a Publicity Release within seven (7) days of Prize Notification. These documents may require the following information: the winner’s social security number, legal name, age, current address, and phone number for tax reporting and record-keeping purposes only. Failure to return documents in a timely manner, the return of the Grand Prize or Prize Notification as non-deliverable, non-compliance by the winner of these Official Rules, or other ineligibility of the winner, may result in disqualification with an alternate winner selected.

Where permitted by law, the winner agrees to grant to N.R.I. LLC, or Zenagen Shampoo, and their respective parent companies, affiliated and subsidiary companies, and those acting pursuant to its direction or control (and will confirm such grant in writing upon request), the right to print, publish, broadcast and use, worldwide in any media now known or hereafter developed, including but not limited to the Internet, at any time or times, the winner’s name, portrait, picture, voice, likeness and as news or information and for advertising, trade and promotional purposes without additional consideration, and without notification, review or approval. Failure to grant such rights may result in disqualification with an alternate winner or potential winner selected.

By accepting the Grand Prize, the winner agrees that any Affidavit and/or Releases, and any grant of permission to use the winner’s first name, portrait, picture, voice and likeness, as stated above, may be secured by N.R.I. LLC, or Zenagen Shampoo electronically, for example but not limited to, by email or by facsimile, and such secured Affidavit and/or Releases and permission will have the same force and effect as if any of them had been secured in a written document which was physically executed by the winner.

Further, by accepting the Grand Prize, the winner releases and agrees to hold harmless N.R.I. LLC, or Zenagen Shampoo, and their respective parent companies, affiliates, subsidiaries, advertising and promotion agencies and their respective directors, officers, employees, representatives and agents, from any and all liability for any injuries, loss or damage of any kind to person, including death, and property, arising in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of the Grand Prize, participation in any Sweepstakes related activity, or participation in this Sweepstakes.

N.R.I. LLC, or Zenagen Shampoo reserves the right, at each of its sole discretion, to disqualify any individual it finds, in its sole discretion, to be tampering with the entry process or the operation of the Sweepstakes or the Sweepstakes Web Site; to be acting in violation of these Official Rules; or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person.

If for any reason this Sweepstakes is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which, in the sole opinion of N.R.I. LLC, or Zenagen Shampoo, corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, N.R.I. LLC, or Zenagen Shampoo reserves the right to cancel, terminate, modify or suspend the Sweepstakes as of the date on which any such action is taken or as deemed fair and appropriate by N.R.I. LLC, or Zenagen Shampoo. If the Sweepstakes is suspended or terminated due to any reason prior to its expiration date, notice will be posted on the Sweepstakes Web Site.

ANY ATTEMPT BY A USER OR ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE THE SWEEPSTAKES WEB SITE, OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, N.R.I. LLC, or Zenagen Shampoo RESERVES THE RIGHT TO SEEK DAMAGES AND COSTS (INCLUDING WITHOUT LIMITATION, ATTORNEYS’ FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

8. LIMITATIONS OF LIABILITY
This Sweepstakes is void in Puerto Rico, outside the United States and wherever else prohibited by law.

LLC, or Zenagen Shampoo assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. N.R.I. LLC, or Zenagen Shampoo is not responsible for any problems or technical malfunction of any postal or delivery service, any telephone network or telephone lines, computer online systems, servers, or providers, computer equipment, software, failure of any email or entry to be received on account of technical problems, human error or traffic congestion on the Internet or at any web site, or any combination thereof.

N.R.I. LLC, or Zenagen Shampoo is not responsible for any incorrect or inaccurate capture of information or the failure to capture such information, whether caused by web site users, tampering or hacking, or by any of the equipment or programming associated with or utilized in the Sweepstakes and assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the web site. N.R.I. LLC, or Zenagen Shampoo is not responsible for injury or damage to participants’ or to any other person’s computer related to or resulting from participating in this Sweepstakes or downloading materials from or use of the web site.

IN NO EVENT WILL N.R.I. LLC, ZENAGEN SHAMPOO OR ANY OF THEIR RESPECTIVE PARENT COMPANIES, AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, THEIR ADVERTISING OR PROMOTION AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR PARTICIPATION IN THE SWEEPSTAKES, ACCESS TO AND USE OF THE SWEEPSTAKES WEB SITE OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SAID SITE. WITHOUT LIMITING THE FOREGOING, ANY PRIZE AND EVERYTHING ON THE SWEEPSTAKE WEB SITE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

Some jurisdictions may not allow the limitations or exclusion of liability for incidental or consequential damages or exclusion of implied warranties so some of the above limitations or exclusions may not apply to you. Check your local laws for any restrictions or limitations regarding these limitations or exclusions.

9. DISPUTES
All disputes arising out of or relating to these Official Rules or the Sweepstakes will be governed by and construed in accordance with, the laws of the State of Florida, without giving effect to conflict of laws principles; and (b) commenced in the state or federal courts sitting in the County of Broward in the State of Florida.

In the event of a dispute as to the identity of a winner based on an email address, the winning entry will be declared made by the authorized account holder of the email address submitted at time of entry. “Authorized account holder” means the natural person who is assigned to an email address by an Internet access provider, online service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.

10. WINNER AND OFFICIAL RULES
For the names of the Grand Prize winner, mail a self-addressed stamped envelope for receipt by February 28, 2010 to: NRI c/o Zenagen Big Game Contest 1940 Harrison Street, Suite 206. Hollywood, FL 33020. The Grand Prize winner may also be identified on the Sweepstakes Web Site.
